MIMICORE - END USER LICENSE AGREEMENT

By downloading, installing or using Mimicore (the "Software") you agree to this agreement. If you do not agree, do not install or use the Software.

1. WHO WE ARE

2. LICENSE, ACCOUNTS AND PLANS

You receive a personal, non-exclusive, non-transferable license to use the Software for lawful purposes on devices you own or control. You may not sell, rent, lease or sublicense it. Using the Software requires a free Mimicore account. The Free plan includes a daily allowance of live voice minutes (which does not carry over), built-in and gallery voices, voice effects and the soundboard, and short Speak, Dub and conversion clips. The Live plan makes live voice changing with built-in and gallery voices unlimited. The Studio plan unlocks everything: unlimited use, your own voices live, and cloning, mixing, importing and training voices. Live and Studio are each sold as a monthly or annual subscription, or as a one-time Lifetime plan. Prices are shown on the website in INR for India and in USD elsewhere, and payments are processed by Razorpay.

FREE TRIAL AND AUTOMATIC RENEWAL. A first-time customer may start a free trial (currently 7 days) of a monthly or annual Live or Studio plan. To start it you pay a small refundable charge (INR 2 or USD 1) that verifies your payment method and sets up autopay; we refund that charge right away. You get full access to the plan during the trial. When the trial ends the subscription starts and the plan price shown before you started is charged to the payment method you gave, and it then renews automatically every month or year until you cancel. You can cancel at any time on your account page (Your subscriptions): if you cancel before the trial ends you are not charged anything and keep access until the trial ends; if you cancel later, no further charges are made and you keep access until the end of the period already paid. One free trial per person (and per PC). Lifetime plans are one-time payments and have no trial. Where USD autopay is not yet available, USD customers buy one-time 30-day or 1-year passes that do not renew by themselves.

DEVICES. The Free and Live plans are not tied to any PC. The Studio plan can be used on up to two PCs at a time. You can see the PCs on your account and remove ones you no longer use (account page or Settings in the app); a removed PC cannot be used with that account again. Sharing a Studio account beyond this limit is not allowed and may lead to account closure.

Refunds: the verification charge is always refunded, and you can ask for a full refund within 7 days of any charge; see the Refund and Cancellation Policy on the website, which is part of this agreement. Beyond that, fees are non-refundable except where the law requires otherwise. Lifetime means for as long as we offer the Software. We may change allowances and prices with notice on the website; price changes apply from your next purchase or billing period, and we will tell you before a subscription price you pay changes. Invite and discount codes are personal, have no cash value and may be withdrawn. Creating several accounts to collect extra free trials, or tampering with the plan system, is not allowed and may lead to account closure.

3. YOUR RESPONSIBILITIES

• You must be 18 or older.
• You may create voices only from your own voice, or from the voice of a person who has given you clear, informed permission. The Software does not ask for or check this: it is your responsibility, and you must not fake it.
• You must follow the Acceptable Use Policy, which is part of this agreement.
• You must never present output as a real person's genuine speech when they did not say it, and you must disclose that audio is AI-generated wherever the law or the context requires it.
• You must not remove or alter the "AI-generated" marking the Software adds to saved files.
• You alone are responsible for the audio you create and how you use it, including compliance with personality, publicity, privacy, data-protection, impersonation and fraud laws.

4. THIRD-PARTY COMPONENTS

The Software includes third-party components listed in THIRD_PARTY_NOTICES, used under their own licenses. Nothing in this agreement limits your rights under those licenses. In particular:

• The voice models are Chatterbox (Turbo and Multilingual) by Resemble AI and RVC v2 networks, used under the MIT license. Resemble AI does not endorse or support this Software.
• Microsoft ONNX Runtime (MIT) and DirectML (Microsoft software license terms) are included for use by the Software.

5. YOUR DATA

Voice processing happens on your device. Your account and plan are stored on our servers. See the Privacy Policy.

6. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. Voice cloning and conversion can be imperfect, delayed or fail.

7. LIMITATION OF LIABILITY

To the extent permitted by law, the publisher is not liable for any indirect, incidental or consequential damages, or for any content you create or any breach of this agreement by you. You agree to indemnify the publisher against claims arising from your misuse of the Software.

8. TERMINATION

This license ends automatically if you breach it. You must then stop using the Software and delete it.

9. CHANGES

If these terms change materially, the new version is published on the download page and on the website. By continuing to use the Software after it takes effect you accept it; if you do not, stop using the Software. You accept these terms once, on the download page, before downloading the Software; the Software shows no acceptance screen.

10. GOVERNING LAW

This agreement is governed by the laws of India and the courts of India have jurisdiction, without prejudice to any mandatory consumer protections in your country.
